Hermes Express Services Corp. ("Hermes Express," "we," "us," or "our") respects your privacy. This Privacy Policy explains how we collect, use, disclose and protect personal information when you visit www.HermesExpress.ca (the "Site") or engage us for consulting services and describes your rights regarding that information. We are headquartered in Toronto, Ontario, Canada, and serve clients in both Canada and the United States.

We collect information in the following ways:

  • Information you provide directly, such as your name, company name, email address, phone number, and any details you share through our contact form, consultation bookings or during an engagement.
  • Business and financial information you share with us in the course of an advisory engagement (e.g., for growth planning, M&A, or Exit & Capital Routes advisory), which we treat as confidential in accordance with our engagement agreements.
  • Automatically collected information, such as IP address, browser type, device information, and pages visited, collected via cookies and similar technologies when you use the Site.
  • Information from third parties, such as referral partners, licensed securities or legal professionals we coordinate with on your behalf or publicly available business information.

2. How We Use Your Information

  • To respond to inquiries and provide requested consulting services;
  • To assess and deliver advisory engagements, including coordinating with third-party licensed professionals where a matter (such as an OTCQB listing or capital raise) requires their involvement;
  • To operate, maintain and improve the Site;
  • To send administrative communications and where you have consented, marketing communications;
  • To comply with legal, regulatory and contractual obligations in Canada and the United States;
  • To detect, prevent and address fraud, security or technical issues.

3. How We Share Information

We do not sell personal information. We may share information with:

  • Service providers who support our operations (e.g., IT hosting, email, scheduling, analytics), bound by confidentiality obligations;
  • Licensed third-party professionals (e.g., securities lawyers, auditors, registered broker-dealers or exempt market dealers, financial institutions) when reasonably necessary to advance an engagement you have requested, such as under our Exit & Capital Routes service;
  • Professional advisors (our own legal, accounting or insurance advisors) as needed;
  • Regulators, courts or law enforcement where required by law;
  • A successor entity in the event of a merger, acquisition or sale of assets.

4. Cross-Border Data Transfers

Because we serve clients in both Canada and the United States, personal information may be stored, processed or accessed in either country or by service providers located elsewhere. Information transferred outside Canada may be subject to the laws of the receiving jurisdiction, including lawful access requests by that jurisdiction's authorities.

5. Cookies and Tracking Technologies

The Site may use cookies and similar technologies to operate core functionality, remember preferences and understand how visitors use the Site (analytics). You can control cookies through your browser settings; disabling cookies may affect Site functionality.

We retain personal information for as long as needed to fulfill the purposes described in this Policy, including to meet legal, accounting or reporting obligations, after which it is securely deleted or anonymized.

We use reasonable administrative, technical and physical safeguards designed to protect personal information. No method of transmission or storage is completely secure, and we cannot guarantee absolute security.

9. Children's Privacy

The Site and our services are directed at businesses and professionals. We do not knowingly collect personal information from individuals under the age of 18.

Confidential engagement information. Business, financial and transaction-related information you share with us as part of an advisory engagement (for example, materials shared for an M&A process or an Exit & Capital Routes engagement) is additionally governed by the confidentiality terms in your signed engagement agreement, which take precedence over this Policy in the event of a conflict.
